Terms of Service

1. Scope & Acceptance
These Terms govern access to and use of the Prospera AI website and product (the "Service") by business customers only. By clicking "I agree", creating an account, or using the Service, you accept these Terms without modification. The Privacy Policy is incorporated by reference.

- •Minimum age: 18 years
2. Subscriptions
Model
The Service is offered on a subscription basis ("Subscription").
Seats
Adding or removing seats results in pro-rated adjustments on the next invoice.
Term & Renewal
Subscriptions auto-renew for the same period. Fees are charged at the start of each term. Cancellation takes effect for the future.
Reactivation
If you cancel without deleting your account, you may later reactivate under then-current terms (subject to availability).
3. Billing & Payment
Processor
Payments are handled by a payment service provider (e.g., Stripe). You must accept the PSP's terms; Prospera AI is not a party to that agreement.
Charges
Fees are collected automatically at Subscription start and on each renewal date. Your payment method must remain valid; otherwise we may suspend or terminate the Subscription.
Taxes / Currency
Fees are exclusive of taxes and billed in the currency shown at checkout.
Refunds
Fees are non-refundable, unless required by law.
4. Accounts
You must provide accurate, complete, and current information. One Prospera seat is linked to one personal LinkedIn account. You are responsible for safeguarding credentials and for all activity under your account.
Your Responsibilities
- •Notify us immediately of any security incident
- •No hacking, interference, or system abuse
- •Maintain credential security
5. LinkedIn & Other Third-Party Platforms
No Affiliation
Prospera AI is not authorized, sponsored, or approved by LinkedIn or any other platform.
Your Compliance
You must comply with third-party platform terms. If a platform prohibits this use, do not use the Service on that platform.
Known Risks
Platforms may suspend accounts, revoke API access, delete data, or impose sanctions. You assume this risk.
Disclaimer
To the extent permitted by law, Prospera AI is not liable for platform decisions or measures and any resulting loss (including account bans, data loss, lost revenue/profit, reputational harm, contractual penalties, or indirect/consequential loss). Nothing limits liability for intent, gross negligence, or personal injury as mandated by Swiss law (Art. 100 CO).
Indemnity, Notice, Cooperation
You indemnify Prospera AI from third-party claims (including platforms) arising from your use on such platforms, including reasonable legal costs. We may control the defense; you must promptly notify us of platform notices/claims and cooperate.
Indemnity is reduced to the extent our position is worsened by late notice or non-cooperation.
AUP Enforcement
We may enforce limits (rate-limits, CAPTCHA, human review, kill-switch) and suspend immediately for violations. No refund.
6. Service Availability
Use at your own risk. We aim for high availability but outages may occur (maintenance, incidents). We may notify planned maintenance; emergencies may occur without notice.
7. Termination
You may cancel at any time (effective at period end unless stated otherwise). We may suspend or terminate at any time, especially for breach or operational/security risk.
Data Deletion
After account deletion, we may delete data in the ordinary course; recovery is not guaranteed.
8. Warranties & Liability
As-Is
The Service is provided "as is", without warranties of any kind.
Liability Cap
To the extent permitted by law, Prospera AI's total aggregate liability is limited to fees paid by you in the six (6) months before the event.
Excluded Damages
No liability for indirect, consequential, incidental, punitive, or lost-profit damages.
Carve-Outs
The cap and exclusions do not apply to willful misconduct, gross negligence, or personal injury (Art. 100 CO reserved).
9. Changes
We may modify these Terms and/or the Service. For material changes we will provide notice. Continued use after the effective date constitutes acceptance. If you do not agree, cancel before changes take effect.
10. Governing Law & Venue
These Terms are governed by Swiss law (excluding conflict-of-laws rules).
Exclusive forum: Zurich, Switzerland
Mandatory law remains reserved.
11. General
- •Assignment: No assignment by you without our prior written consent; we may assign to affiliates/successors.
- •Severability: If any provision is invalid, the remainder remains effective; the provision will be applied to the maximum extent permitted.
- •Waiver: No waiver unless in writing.
- •Entire Agreement: These Terms (plus Privacy Policy) are the entire agreement for the Service.
12. Privacy
You must read and accept the Prospera AI Privacy Policy, which governs personal data processing.
Roles
For website/account/billing/support data, Prospera AI is controller. For customer-submitted content and contact/lead data processed in the Service, Customer is controller and Prospera AI is processor under the Data Processing Agreement (DPA).
Sub-processors
We use vetted sub-processors (hosting, communications, analytics, support) under data-protection terms.
